Corporate Governance Officer

The Company's Board of Directors resolved on December 24, 2025, to establish the position of Corporate Governance Officer to oversee corporate governance-related matters, protect shareholders' rights and interests, and strengthen the functions of the Board of Directors.

Business implementation in 2025 is as follows:

  1. Assist directors in continuing education.
  2. Draft the agenda of the board meeting and notify the directors 7 days before the meeting, convene the meeting and provide meeting materials, and remind the directors in advance if recusal is required due to conflict of interest. Prepare the minutes of the board meeting and distribute them to the directors within 20 days after the meeting.
  3. Handle the pre-registration of the date of the shareholders' meeting according to laws, produce meeting notices, agenda handbooks, and minutes of meetings within the statutory deadline, and handle change registration matters in the case of amendments to the Articles of Incorporation or re-election of directors.
  4. Communication meetings between CPAs, independent directors, auditing and financial and accounting officers are convened from time to time to implement the internal audit and internal control system.

The Corporate Governance Officer will attend courses related to the execution of his or her business in accordance with the "Directions for the Implementation of Continuing Education for Directors and Supervisors of TWSE Listed and TPEx Listed Companies", and according to the "Taiwan Stock Exchange Corporation Operation Directions for Compliance With the Establishment of a Board of Directors by TWSE Listed Companies and the Board's Exercise of Powers", a newly appointed Corporate Governance Officer must undertake at least eighteen hours of further education within one year from the date of assuming this position, and at least twelve hours of further education each year.
